A bond is simply a standard loan issued by companies or governments.
When you buy a bond, you are lending money to a company or government. In return for this loan, you receive interest. The loan is repaid by the company or government over a set period of time.

Fully Subscribed
Once the total amount of the bond loan is reached, it will be marked as “Fully Subscribed.” At that point, investing will no longer be possible.
Each investment includes a 14-day reflection period, during which an investor has the right to amend or cancel their registration. The bond loan will remain in the “Fully Subscribed” status until the reflection period for all registrations has expired.
A prospectus can be exempt from approval by the Dutch regulator AFM if one or more of the following conditions apply:
The offering is directed at fewer than 150 persons.
The securities can only be acquired (individually or in a bundle) for a value of at least €100,000 per investor.
The offering is made by a non-profit association or institution to achieve its non-commercial objectives.
The nominal value of a security is €100,000 or more.
The same applies to this offering:
The total value of the securities being offered is less than €5 million, calculated over a 12-month period.
It’s also possible that no approved prospectus is available because the offering is not subject to a prospectus requirement. This may be the case, for example, if the securities are not tradable or if it concerns an offering of participation rights in an open-end investment fund.

With crowdfunding, a loan is arranged through an intermediary platform that connects lenders and borrowers. A crowdfunding platform is required to conduct an investor test for every consumer who invests more than €500 through the platform.

Yes, the AFM considers it important that you, as a consumer, make an informed decision to invest. That’s why we offer a reflection period. This is implemented in two ways:
